• Analyze the legal implications of all the activities of the Company to ensure that the Company conducts all its activities and operations within the existing legal framework (locally and internationally)
• Identify potential legal risks in the Company and serve as an internal early warning system to management.
• Execute and manage appropriate legal action in response to litigation suits filed against the Company by external parties and prosecute third parties when company rights and/or interests are violated.
• Manage and coordinate the legal department's activities and ensure that they are within budget and in line with company strategy as communicated from time to time.
• Prepare international case drafts & review local case drafts
• Ensure that the Company has adhered to the constitution and by-laws as well as the laws and regulations of the country
• Ensure that the Company's legal matters are managed properly, efficiently and that the relevant and respective stakeholders are shared and given proper Advice and guidance.
• Manage office functions economically and efficiently, plan work, maintain good interpersonal relations and communications with local/international lawyers and support staff.
• Evaluate and weigh all legal aspects and/ or situations, and be able to provide sound solutions, with the aim of protecting the legal rights of the Company Manage and brief / discuss with the lawyers for legal cases and to negotiate the fees structure of the Advocates.
• Coordinate and decide required for arbitration proceedings and provide the required documents to appointed advocates for proceeding of Arbitration.
• Act on behalf of the company group in all legal matters & local & international disputes.
• Provide accurate, relevant, and timely Advice to relevant stakeholders on legal matters relating to the Desired Experience Areas and thereby support the business and its products or services
• Draft agreements, contracts and other documents required in executing transactions related to the Desired Experience Areas
• Review all counterparty agreements, contracts and other documents required in respect of the execution of the Desired Experience Areas
• Participate in negotiations with counterparties where required
• Coordinates with external counsel where required to provide the necessary support.
• Coordinates with contracts and procurement department on all agreements, contracts, other documents that are relevant to the Desired Experience Areas
• Works closely with compliance team in connection with matters related to the Desired Experience Areas that have a legal and/or regulatory element
• Provide Advice and assist in the implementation of the functional strategy in the area of responsibility across the Company.
• Conduct analysis for the optimization and streamlining of section processes to support the accomplishment of functional synergies and to enhance corporate performance and efficiency

• Successful experience in a recognized law firm as a Banking & Finance Lawyer (Sharjah Islamic Bank- Dubai Islamic Bank).

• Legal Advice to various law, help them in interpreting legal documents to ensure the knowledge of all the client are familiar to avoid any errors or risks, recommending legal action necessary for the client and ensure compliance with the regulations and procedures of occupational safety and health for employees to increase their capacity.

• Drafting & writing Contracts, Agreements and Memorandum Of Understanding (MOU) as well as editing agreements by all its forms be they leases, construction/consultancy contracts, commercial contracts, purchase agreements, licensing agreements, insurance, property matters, company law, labor law and service contracts, etc either concluded with Middle East companies.
• Lawsuits and statements of Claims, and legal defenses & responses, to be submitted at competent courts in KSA in various types of cases & the courts, Knowledge of criminal and civil procedures within courts of the KSA, and the different degrees of litigation (First Instant, Appeal and Cassation Court), Examining the implications of all the legal issues before the clients and to recommend with appropriate action, like:
• Drafting memorandum of association and appendices thereto for the Company and for the subsidiaries in terms of alteration in the legal structure of the given Company and/or subsidiaries as per their requirements and rendering the required amendments thereto in compliance with the updated amendments to the Law.
• Identify areas of potential risk / exposure and ensure that safety clauses are built into the contract to protect UP and its subsidiaries' interests.
• Giving opinion after referral to and seeking consultation with the technical experts in the UP's other departments so as to reach a fully integrated legal opinion as to which the financial entity and the legal interface entity constitute the one and same interface.
• Drawing up the letters that require legal replies by the CEO and General Manager and reporting to them what is going on in the Department to be cognizant thereof.
• Drawing up powers of attorney on behalf of the Chairman to the CEO vis-à-vis some terms of reference and drawing up powers of attorney on behalf of the CEO to some officers in some departments in UP as well as the managers and representatives of the 24 subsidiaries; making sure that the powers of attorney be effective for a definite period and for a definite purpose that covers all the aspects of the attorney's acts.
• Following up the pending actions filed by and against UP with the law firms; editing the legal briefs to be produced in the actions as well as the supporting documents; providing the in-charge firm with any corroborative exhibits at UP's advantage in any dispute; giving opinions and rendering any amendments to any briefs; taking daily cognizance of all updates as to the actions.
• Coordinate with concerned departments and other parties in evaluation of potential litigation; develop recommendations for appropriate proceedings including prosecution, dismissal or settlement of such litigations, based upon UP's policy.
• Establishing the legal administration in UP in terms of allocation of assignments unto the associate staff; specifying the terms of reference and assignments for each associate and adviser in the Department; ensuring the archiving and internal filings to make sure that any file is easily accessible and that it is streamlined and include all the papers relevant to the intended deliverables.
• Reviewing the contingent problematic issues and disputes that might be filed by or against UP's customers and keeping in touch with them for reaching a compromise therewith via streamlining a strategy for negotiation and convincing the customer with the best solutions or any other alternative solutions in the settlement scheme so that the maximal profits can be attained in UP's favor to solicit the opposing party into solving the dispute the amicably.
• Keeping in continuation of communication with the other departments in UP, harboring keenness on being cognizant of any problematic issues that may be encountered by such departments and giving the legal opinion as soon as possible.
• Rendering proposals and drawing up models therefore that pertain to the mechanism of keeping in touch with the Legal Department and seeking its Advice, ensuring reply thereto within a definite short time through drawing up legal advice application form in UP.
• Cooperating with the HR Dept. for drawing up and finalizing the UP's Internal Bylaws in conformity with the LaborLaw & General Pension & Social Security Authority.
• Reviewing the Board-of-Directors' resolutions and collating them with the instructions of the Securities and Commodities Authority, the governance codes and the Companies Law to ensure the legality thereof.
• Conducting reports on some projects, contractual arrangements as well as the legal aspects thereof and the financial effects thereof on UP.
• Coordinating with the Financial Department vis-à-vis some financial dispositions and borrowing and banking finance transactions.
• Communicating with the auditing firms, and introducing all model contracts, and replying to all inquiries in order to assess risks in all the Company's departments and the UP's annual evaluation.
• Communicating with the trademark companies and giving instructions as to some modifications of the Company's trademark in some of GCC countries.
