Responsible for contractual content and contracts as regards the Seadrill fleet (jack-ups and floaters) in the Eastern Hemisphere.

Participation in tenders for offshore drilling opportunities and negotiation of new Drilling Contracts:

• review and qualification of drilling contracts and other tender documentation (preparation of POAs, confidentiality agreements, due diligence questionnaires, cover letters, etc.);
• negotiation of provided qualifications and finalization of drilling contracts with operators (Total, Shell, Eni, Var Energi, Saudi Aramco, PTTEP, ConocoPhillips, Wintershall, Petronas, etc.);
• handover of newly signed drilling contracts from Marketing to Rig Intake / Operations and involvement in start-up;

Support to Rig Managers and Operations Team:

• drafting/review and finalization of variation orders, amendments to drilling contracts;
• provision of contracts interpretation and other assistance in the event of ambiguity or disputes;
• formal correspondence with operators and contract administration;
• monitoring of important contracts' milestones;
• participation in closure of drilling contracts (including return of Parent Company Guarantees (PCGs), Bank Guarantees (BGs) and other closure tasks);

Miscellaneous :

• Review, negotiation and administration of Master Framework Agreements with operators, agency agreements, back-to-back contracts, bareboat charter agreements;
• focus point for legal queries, as well as for PCGs, BGs and Bid Bonds within the Marketing Department;
• arranging compliance with internal approval process / internal paperwork such as Board Memos, Minutes, Resolutions for with Company Secretary and Headquarters.

Responsible for contractual support of Operator’s activities under the Development and Production Sharing Contract (DPSC) (West Qurna-2 Oilfield, Iraq).

Procurement process:

• drafting various types of contracts based on the Scope of Work prepared with relevant User Departments (eg., drilling contracts, contracts for workover, testing, completion, geological, geotechnical and other services) as part of the procurement documentation package;
• review of the whole procurement documentation package: requests for quotation, tender, single source documents, ensuring compliance of those documents with the contract terms;
• finalization of the procurement documentation package: arranging internal and external approvals as per the Operator's procedures and DPSC's terms, preparation of Tender Board (TB)/Joint Management Committee (JMC) Minutes and associated documentation necessary for obtaining approval by TB, JMC and State Partner;
• participation in evaluation and contract award process: negotiation of qualifications provided by contractors, administering award of the contract to the successful bidder/single source contractor, including obtaining Operator’s internal and State Partner’s approval;

Contractual support:

• Contract handover to the User Department upon award and follow-on support in contracts execution: providing assistance on contracts administration issues, holding clarification meetings, preparing contract summaries specifying key activities/milestones to be followed under the contract, preparing memos on contract terms interpretation in case of disputes, disputes correspondence;
• Contracts closure;

Miscellaneous:

• development and introduction of standard procurement and contract documentation (drafting, organizing approval and implementation of contract templates to be used for procurement of low/high complexity supply/services, internal policies and procedures);
• general assistance and advice on contractual and procurement matters.

Legal support of Operator’s activities under the DPSC (West Qurna-2 Oilfield, Iraq).

• Review, negotiation of various types of contracts in connection with the project;
• Analysis and mitigation of potential risks, ensuring protection of Operator’s rights and interests in the course of legal review;
• Review of contractors' due diligence documentation provided for the purpose of tender evaluation;
• Ensuring approval/signing/registration of contracts in accordance with the internal Operator’s procedures and policies;
• Writing legal opinions and negotiating contractual issues and legal disputes;
• Maintaining contracts register, providing advice and other day-to-day legal assistance.

Responsible for legal support of Company's activities in existing and new international offshore and onshore oil and gas projects.

• Projects in Algeria (El-Assel Perimeter), Libya (Area 64, Area 19), Bangladesh - legal support of Company’s activities as Operator under the Exploration and Production Sharing Agreements, in particular onshore and offshore drilling and well construction activities (drafting, reviewing, negotiating and signing drilling contracts, contracts for supply and various types of oilfield services):
• Projects in Vietnam (Blocks 05-2/05-3), Bolivia (Ipati & Aquio, Azero), UK (Licences P1239/P1733) - legal support of acquiring participating interests in Production Sharing Contracts / Operations Contracts / Licences (PSCs): review, negotiation and signing Farm-out Agreements, introducing amendments to PSCs and all other side agreements in connection with the participation in new projects, preparing corporate and other documents necessary for submission to the Governmental Authorities for the purpose of obtaining approval; drafting and negotiating / introducing amendments to Joint Operating Agreement;
• Drafting and organizing internal approval of contract templates for various well services, confidentiality agreements, memoranda of understanding, letters of intent; managing external legal consultants, maintaining contracts registers.

Responsible for legal support of international projects of the Bank.
